Manager, Corporate Secretarial & Compliance

You will play a pivotal part in ensuring statutory compliance, facilitating seamless board operations, and maintaining essential corporate records.
What you'll do:
As Corporate Secretariat and Compliance Manager based in Shah Alam, you will be instrumental in supporting the smooth operation of the organisation’s governance framework.
- Work closely with an external outsourced secretary firm to ensure all secretarial compliance tasks are completed accurately and on time.
- Manage communications and correspondence related to corporate secretariat matters, ensuring information is shared efficiently across relevant parties.
- Provide comprehensive administrative support for convening Board Meetings and Board Committee meetings, including preparing agendas, minutes, and follow-up actions.
- Maintain statutory books, records, and files to guarantee full compliance with legal requirements at all times.
- Assist in preparing statutory documents required under legislation such as the Companies Act 2016, Capital Markets and Services Act 2007, and Malaysian Code on Corporate Governance.
- Support the preparation of secretarial materials for Annual Reports, AGMs, EGMs, Circulars to Shareholders, and coordinate with Registrars for timely issuance of documents.
- Organise and coordinate Board, Management Committee, Exco, and General Meetings while assisting in communicating decisions made by these bodies to operating units.
- Act as secretary to Exco and Management Committees by managing documentation and ensuring effective dissemination of information.
- Compile master lists of subsidiaries, associated companies, joint ventures, directors’ details, and other relevant corporate information for reporting purposes.
- Draft, review, and verify board papers; check secretarial or corporate information in audited financial statements; review submission documents for completeness before regulatory filings.
What you bring:
To excel as Corporate Secretariat and Compliance Manager you will bring significant experience from within company secretarial practice.
- Possess ICSA qualification or equivalent or hold a Bachelor’s degree in law from a recognised institution.
- Demonstrate 4 to 8 years of experience working within company secretarial practice—ideally gained at a large secretarial firm or similar environment.
- Show proficiency in both spoken and written English as well as Bahasa Malaysia to facilitate effective communication across diverse teams.
- Exhibit strong organisational skills with proven ability to plan ahead while managing multiple priorities simultaneously.
- Display excellent interpersonal skills that foster positive relationships with colleagues at all levels of the organisation.
- Be comfortable using computer applications relevant to document management, meeting coordination, and statutory record-keeping.
- Bring maturity, reliability, resourcefulness, and analytical thinking when addressing complex compliance issues or supporting senior management decisions.
- Work effectively as part of a team while also being self-motivated enough to handle tasks independently with minimal supervision.
