What you'll do:
As a Corporate Secretarial Executive based in Kuala Lumpur, you will be entrusted with responsibilities that are central to the organisation’s commitment to robust governance.
- Support the company’s compliance with all applicable laws, regulations, and rules by assisting with statutory requirements, listing rules such as those set by Bursa Malaysia, and upholding corporate governance standards.
- Review, manage, and maintain statutory registers and records for the company, ensuring accuracy and timely updates for directors, shareholders, and all necessary corporate filings with regulatory authorities.
- Prepare and file essential corporate documents including annual returns, financial statements, regulatory filings, announcements, and disclosures within required deadlines to ensure full compliance.
- Organise and facilitate board meetings by preparing agendas, distributing board papers promptly, recording accurate meeting minutes and resolutions, and maintaining comprehensive records.
- Assist in acting as an intermediary between the board, senior management, internal teams to ensure smooth communication channels and effective implementation of board decisions.
- Coordinate logistics for Annual General Meetings (AGMs) or Extraordinary General Meetings (EGMs), including preparing notices of meeting, proxy forms, and related documentation in accordance with legal requirements.
- Provide administrative support during AGMs/EGMs by addressing shareholder queries efficiently and ensuring all communications meet regulatory standards.
- Maintain effective relationships with regulatory authorities such as CCM and Bursa Malaysia by handling queries and compliance matters professionally.
- Liaise with auditors, legal advisors, and external stakeholders regarding corporate secretarial issues to ensure all parties are informed and aligned.
- Support the implementation of standard operating procedures for corporate secretarial activities to promote consistency, efficiency, accuracy, and ongoing team development.
What you bring:
- Membership with The Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) or another recognised professional body。
- At least 3 years’ proven experience in a corporate secretarial function within a public listed company or similar environment is essential for this position.
- Possession of ICSA certification or a relevant degree demonstrates your technical proficiency in company secretarial practice.
- A strong understanding of Malaysian corporate regulations, governance frameworks, statutory obligations for public companies, listing requirements (e.g., Bursa Malaysia), and disclosure standards is vital.
- Exceptional attention to detail ensures that statutory books are meticulously maintained and all filings are completed accurately within strict deadlines.
Excellent stakeholder management skills enable you to communicate effectively with regulators, auditors, legal advisors, shareholders, board members, senior management teams, and colleagues at all levels.
- Outstanding organisational abilities allow you to coordinate multiple projects simultaneously while prioritising tasks according to urgency and importance.
- Demonstrated ability to work collaboratively within a team-oriented environment while upholding integrity, accountability, customer orientation principles as well as learning agility
