What you'll do:
You will be entrusted with responsibilities that are central to the smooth operation of the Corporate Secretarial Department.
- Draft resolutions and minutes of meetings from scratch, ensuring accuracy and clarity in all documentation produced for the Group’s Board Meetings and General Meetings.
- Prepare position papers and proposals as required by the Company Secretary or superior, demonstrating thorough research and analytical thinking.
- Organise and co-ordinate the Group’s Board Meetings, General Meetings, and any ad hoc meetings efficiently, including preparation of meeting papers, reports, checklists, and related materials.
- Maintain all statutory documents, records, and files (both physical and archive) in systematic order to ensure easy retrieval and compliance with regulatory standards.
- Assist the Company Secretary in all aspects of the corporate secretarial function as well as compliance and governance activities across the Group.
- Utilise online systems for uploading statutory forms and returns accurately; stay updated on relevant digital platforms used for corporate filings.
- Ensure familiarity with the Companies Act 2016, rules, regulations, guidelines of relevant Acts; apply this knowledge to daily tasks and compliance work.
- Support the team by carrying out any other duties assigned by the Company Secretary or superior as necessary to meet departmental objectives.
What you bring:
The ideal candidate for the Corporate Secretarial Executive position brings substantial experience gained over several years within corporate secretarial roles.
- Possess ICSA or MACS qualification; finalists with relevant corporate secretarial experience may also be considered for this role.
- Bring at least three to five years of proven experience in corporate secretarial work within a similar environment.
- Show familiarity with Companies Act 2016 as well as rules, regulations, guidelines of relevant Acts; some experience in compliance work is advantageous.
- Demonstrate responsibility through pro-active approach to tasks; meticulous attention to detail is essential for maintaining accurate records.
- Exhibit pleasant personality coupled with good attitude; strong team spirit is vital for collaborative success within the department.
- Display excellent analytical thinking abilities along with effective problem-solving skills; these qualities are crucial when preparing position papers or proposals.
- Have experience drafting resolutions/minutes of meetings from scratch; adept at preparing meeting papers/reports/checklists for board meetings is advantageous.
