An exciting opportunity for a Corporate Counsel in Kuala Lumpur to act as a key legal advisor across compliance, governance, and commercial matters. You will support senior leadership and cross-functional teams by drafting, reviewing, and negotiating key agreements, including supply contracts and joint ventures, ensuring strong legal and regulatory compliance across business operations.

What you'll do

  • Provide comprehensive legal advice on commercial transactions, regulatory compliance, and corporate governance matters to various departments within the organisation.
  • Draft, review, and negotiate a broad array of corporate and commercial agreements including supply contracts, distribution agreements, asset sale documents, and service contracts.
  • Manage litigation cases by coordinating with external counsel, overseeing incident response protocols, and supporting crisis management efforts as required.
  • Support mergers and acquisitions activity by conducting due diligence reviews, preparing transaction documentation, and advising on structuring options for corporate restructurings or joint ventures.
  • Prepare board resolutions and other corporate secretarial documents while offering guidance on governance-related issues to ensure adherence to statutory requirements.
  • Oversee intellectual property portfolios by managing trademark registrations, renewals, and related documentation to protect the organisation’s intangible assets.
  • Maintain contract repositories and ensure all legal documentation is up-to-date, accessible, and compliant with internal policies as well as external regulations
  • Collaborate with internal stakeholders such as finance, operations, HR, and risk management teams to provide timely legal input on strategic projects.
  • Monitor changes in relevant laws and regulations affecting the business landscape in Malaysia and internationally; proactively update policies or procedures as needed.
  • Foster strong relationships with external advisors including law firms and regulatory bodies to ensure effective representation of the organisation’s interests.

What you bring

To excel as Corporate Counsel in this dynamic environment, your background should reflect substantial experience navigating complex legal landscapes

  • Qualified lawyer with minimum of 6-10 years’ post-qualification experience gained in a large national or international law firm or as in-house counsel within an international setting.
  • Exhibit strong communication, analytical, and negotiation skills; showing enthusiasm for an inclusive and diverse work environment.
  • Drafting, reviewing, and negotiating complex corporate agreements such as supply contracts or joint venture documents.
  • Demonstrated ability to manage litigation processes effectively—including coordination with external counsel—and respond promptly during incidents or crises.
  • Experience supporting M&A transactions through due diligence exercises, transaction structuring advice, or preparation of closing documentation is highly desirable.
  • Strong understanding of intellectual property management including trademark registration processes and portfolio maintenance responsibilities.
  • Excellent interpersonal skills enabling you to build trust-based relationships with internal clients as well as external advisors or regulators
  • Up-to-date knowledge of Malaysian laws plus familiarity with international regulations impacting cross-border transactions would be advantageous.
