CONFIDENTIAL: Group Head, Legal

Our client, a prominent Development Financial Institution (DFI), is seeking an experienced and strategic legal leader to head its Group Legal function. This role is responsible for providing legal and regulatory leadership, safeguarding the Group's interests, managing legal risks, strengthening governance frameworks, and supporting the institution's strategic and developmental objectives.

Key Responsibilities

Strategic Legal Advisory

• Serve as the principal legal adviser to the Board, Board Committees, EXCO, and senior management.
• Provide commercially focused legal advice on strategic initiatives, transactions, partnerships, and business decisions.
• Advise on legal, regulatory, governance, and reputational risks impacting the Group.

Corporate Governance & Compliance

• Ensure compliance with applicable laws, regulations, and governance standards.
• Oversee legal policies, frameworks, and standard operating procedures across the Group.
• Monitor regulatory developments and provide timely guidance on business implications.

Legal Risk & Transaction Management

• Lead legal risk assessments and develop mitigation strategies.
• Review, draft, negotiate, and manage complex contracts, financing arrangements, and commercial agreements.
• Support strategic corporate transactions and business initiatives while protecting the Group's interests.

Litigation & Stakeholder Management

• Manage litigation, disputes, investigations, and legal proceedings involving the Group.
• Oversee and optimise the engagement of external legal counsel.
• Build strong relationships with regulators, government agencies, business partners, and key stakeholders.

Leadership & Transformation

• Lead, mentor, and develop a high-performing legal team.
• Drive continuous improvement, digitalisation, and legal process enhancements.
• Foster a culture of integrity, accountability, and professional excellence.

Requirements

Qualifications

• Bachelor's Degree in Law (LLB) or equivalent professional legal qualification.
• Postgraduate qualification in Law, Corporate Governance, Business Administration, or related disciplines is advantageous
• Proven experience in providing sound legal advice at a senior level with min. 15 years of PQE. Candidates who have worked in financial institutions will be viewed favorably
• Strong knowledge of corporate law and regulatory requirements.
• Experience in managing complex litigation cases.
• Ability to coordinate and manage legal issues across different departments.
• Experience in planning, administering and managing a Legal Affairs Department.
• Excellent communication skills with ability to provide clear legal advice to non-legal personnel.
