Legal Counsel (Corporate Finance/M&A)

One of the established financial services group is seeking a dynamic Legal Counsel to join their Corporate Finance Legal team. In this pivotal role, you will drive the legal strategy for major internal corporate exercises, focusing on high-impact mergers and acquisitions (M&A) and capital-raising initiatives across Southeast Asia. Key Responsibilities

• Strategic Legal Counsel: Act as the primary legal advisor for the Group’s internal corporate exercises, with a strong focus on M&A and capital/fund-raising initiatives across key jurisdictions, including Malaysia, Singapore, the Philippines, Indonesia, Cambodia, and Vietnam.
• Deal Execution & Delivery: Ensure that relevant business units receive timely, accurate, and commercially viable legal advice. This includes taking the lead on drafting, reviewing, and negotiating complex legal documentation.
• Cross-Border Risk Management: Proactively identify, manage, and mitigate legal risks impacting the Group, particularly those navigating complex regional and cross-border regulatory landscapes.
• Collaborative Leadership: Partner closely with the Head of Group Legal - Corporate Finance and other team members to drive successful legal outcomes for the business.
• Regulatory Vigilance: Continuously monitor evolving laws, rules, and regulations across our operating markets, providing critical updates and strategic guidance to stakeholders.

Key Requirements

• Education & Credentials: Degree in Law from a reputable university; fully qualified Advocate and Solicitor.
• Experience: At least 8 years of post-qualification experience (PQE). A strong foundation in private practice is required; additional in-house experience within a bank or large multinational corporation is highly advantageous.
• Debt Capital Markets: Proven track record in capital and fund-raising initiatives, including extensive work with bonds, Sukuk, and structured notes programs in Malaysia and international jurisdictions.
• Financing & M&A Mastery: Deep experience handling bilateral and syndicated loan financing (both secured and unsecured), alongside significant exposure to cross-border M&A, corporate/commercial deals, and banking transactions.
