This role offers an opportunity to work closely with the Board and senior management, providing counsel on governance frameworks and statutory regulations while ensuring seamless execution of Board and Committee meetings. What you'll do:

As Director of Corporate Secretarial in this leading Kuala Lumpur organisation, your day-to-day responsibilities will centre around championing best-in-class governance practices.

  • Provide strategic advisory support to the Board and senior management on corporate governance matters, ensuring compliance with the Companies Act, Malaysian Code on Corporate Governance, MOF Guidelines, and other relevant regulations.
  • Develop, implement, and enforce robust governance frameworks that uphold ethical standards and legal obligations across all corporate secretarial functions within the organisation.
  • Act as the primary liaison between the company, regulatory authorities, external advisors, and compliance bodies to facilitate seamless stakeholder engagement and maintain best-in-class governance practices.
  • Monitor evolving regulatory landscapes by assessing potential impacts on the organisation and proactively implementing enhancements to ensure ongoing compliance with statutory requirements.
  • Plan, coordinate, and oversee Board and Committee meetings by issuing timely notices, agendas, and materials that enable informed decision-making among stakeholders.
  • Provide real-time advisory during meetings to ensure adherence to statutory requirements, governance protocols, and corporate best practices while supporting effective communication between Board members and senior management.
  • Draft, review, and finalise meeting minutes, resolutions, and governance records with meticulous attention to accuracy, transparency, and regulatory compliance.
  • Manage venue logistics as well as virtual meeting platforms to guarantee efficient execution of both physical and digital governance meetings.
  • Oversee corporate secretarial oversight for mergers, acquisitions, divestments, restructurings, and other corporate exercises by ensuring full regulatory compliance throughout each transaction.
  • Lead secure handling of corporate records by maintaining integrity, confidentiality, accessibility of statutory registers in accordance with data protection laws.

What you bring:

Your proven experience as Director of Corporate Secretarial will be evident through your leadership roles within public-listed companies or large corporate groups.

  • Possess an ICSA qualification or hold a licence as Company Secretary under the Companies Commission of Malaysia (SSM), demonstrating recognised professional credentials essential for this leadership position.
  • Bring with at least 20 years of extensive experience in corporate secretarial roles—including managerial responsibilities within public-listed companies or large corporate groups—showcasing your depth of knowledge in complex environments.
  • Demonstrate strong familiarity with the Companies Act, Malaysian Code on Corporate Governance, MOF Guidelines, Bursa Malaysia Listing Requirements as well as other pertinent regulations governing listed entities.
  • Exhibit excellent proficiency in spoken and written English and Malay—enabling clear communication across diverse stakeholder groups.
  • Showcase outstanding interpersonal skills by engaging effectively with Board members, senior management teams, regulatory authorities—and external advisors.
  • Display proven ability to manage multiple priorities simultaneously under tight deadlines—ensuring operational efficiency without compromising quality or compliance.
  • Utilise advanced organisational skills for maintaining statutory registers; overseeing secure document storage; ensuring accessibility aligned with legal policies; supporting operational efficiency.
  • Apply sound judgement when conducting due diligence or risk assessments during corporate transactions—ensuring all activities adhere strictly to governance approvals.
  • Embrace digitalisation by adopting new technologies that optimise departmental processes; automate routine tasks; enhance overall efficiency within secretarial operations.
