BIY - Legal Counsel (Regional)
A leading multinational organisation is seeking a Legal Counsel to support its operations across Southeast Asia, Australia, and New Zealand. What you'll do:
As Legal Counsel based in KL, you will play a pivotal role in supporting business operations.
- Provide accurate and timely legal counsel to stakeholders on a wide range of legal topics including contractual matters, anti-trust and competition law issues, regulatory compliance, risk management, and alerting stakeholders to potential legal and regulatory risks.
- Draft, review, negotiate, manage, and maintain various legal documents such as commercial contracts, supply agreements, distribution agreements, NDAs, MOUs, joint venture agreements, shareholder agreements, share sale and acquisition agreements, as well as develop or update contract templates tailored to local requirements.
- Manage disputes including pre-litigation and litigation matters by developing effective strategies for resolution; liaise with external counsel for outsourced legal matters ensuring efficient representation; supervise business teams in collecting facts and evidence; set litigation strategy; provide regular updates on progress of litigations to stakeholders.
- Assist with insurance claims by liaising with the Group Insurance Department and local brokers for queries related to coverage or claims.
- Act as the compliance point of contact for the region by assisting in training exposed business teams; ensure implementation of group programs; advise on compliance-related issues with support from the Group Compliance team.
- Oversee corporate governance matters by managing company secretaries or corporate compliance service providers for all legal entities in SEA and ANZ; assist with acquisitions, internal restructurings, and creation of new legal entities.
- Support the General Counsel for Asia Pacific in liaising with external consultants to manage corporate restructuring projects and merger/acquisition related matters as needed.
- Undertake ad hoc projects or assignments consistent with the role of Legal Counsel or pertaining to the Legal Department as determined by senior management.
- Ensure protection of company interests by maintaining compliance with relevant laws and regulations across all jurisdictions under your remit.
- Offer guidance and advice to stakeholders on all legal aspects of business operations while maintaining meticulous records of statutory filings.
What you bring:
To excel as Legal Counsel in this multinational setting based in KL, you will bring substantial experience from both private practice or previous in-house roles—ideally within an industrial MNC context.
- Bachelor’s or Master’s degree in law from a reputable law school is required; bar qualification in Malaysia or other Commonwealth countries is considered advantageous.
- 8–10 years of broad-based commercial legal experience gained either through private practice or in-house roles; experience within an industrial multinational corporation is preferred.
- Excellent knowledge of Malaysian laws (including corporate, contract, commercial, anti-trust) as well as familiarity with laws applicable in SEA/ANZ or other common law jurisdictions is highly valued.
- Demonstrated ability to exercise sound legal judgment coupled with strong business partnering skills; proven stakeholder management capabilities are essential.
- High level of integrity combined with meticulous attention to detail; quick learning abilities are important for adapting to evolving business needs.
- Experience handling mergers & acquisitions plus joint venture deals is desirable; familiarity with drafting complex agreements is beneficial.
- Outstanding written and verbal communication skills complemented by strong presentation abilities; interpersonal skills are crucial for building trust among colleagues.
- Ability to translate complex legal concepts into clear actionable advice suitable for non-legal stakeholders within the business environment.
- Fluency in business/legal English (both spoken/written) is mandatory; additional language skills are considered an asset.
- Proven track record managing disputes including arbitration/litigation processes while supervising external counsel effectively.
