Corporate Secretary, Manager

Lead and shape a high-performing Corporate Secretarial Department, with the opportunity to drive governance excellence, strengthen client relationships, lead complex corporate matters, and develop a talented team. This is a strategic leadership role for an experienced professional looking to make an impact, elevate service standards, and grow with a dynamic organisation.

Key Responsibilities

  • Lead and manage the Corporate Secretarial Department, including team planning, operations, resource allocation, and performance.

  • Oversee a portfolio of corporate secretarial clients and ensure compliance with the Companies Act 2016 and applicable regulations.

  • Provide professional advice on corporate governance, statutory compliance, restructuring, and corporate exercises.

  • Review and approve board resolutions, minutes, statutory documents, and regulatory filings.

  • Ensure statutory lodgements and compliance matters are completed accurately and within required timelines.

  • Develop and improve SOPs, workflows, quality standards, and processes to enhance departmental efficiency.

  • Lead, mentor, and develop team members while monitoring KPIs, productivity, and service delivery.

  • Oversee complex corporate exercises, including incorporations, restructuring, M&A, foreign registrations, liquidations, and strike-offs.

  • Maintain strong working relationships with clients, regulators, auditors, bankers, legal advisers, and other stakeholders.

  • Support business development activities, including client meetings, proposals, presentations, and networking opportunities.

  • Drive digitalisation and process improvement initiatives within the department.

  • Provide Management with updates on departmental performance, key risks, and strategic initiatives.

Professional Engagement & Industry Visibility

  • Contribute to the organisation's professional profile through seminars, webinars, articles, presentations, and other industry-related content.

  • Share practical insights on corporate secretarial matters, governance, compliance, and regulatory developments.

  • Work with internal teams on client engagement, industry initiatives, and professional development activities.

  • Represent the organisation at relevant industry events, networking sessions, and business forums.

Preferred Qualifications

  • Licensed Company Secretary under Section 235 of the Companies Act 2016, or MAICSA/CGI qualified.

  • Bachelor's degree in Corporate Administration, Law, Business Administration, or a related field.

  • 2 years and above of corporate secretarial experience.

  • Strong knowledge of the Companies Act 2016, corporate governance, and regulatory compliance.

  • Proven experience in team leadership and managing a corporate secretarial portfolio.

  • Strong communication, client management, and stakeholder engagement skills.

  • Strong spoken and written English and Bahasa Malaysia skills are preferred.

  • Spoken and written Mandarin proficiency is highly advantageous for communicating with Mandarin-speaking clients and stakeholders.
