Company Secretary
Our client is a well-established Group and recently acquired by US private equity firm is now seeking an experienced Company Secretary to support its growing corporate governance and compliance function. This opportunity is ideal for corporate secretarial professionals who enjoy working closely with Boards and senior management while gaining exposure to complex corporate exercises, strategic transactions, and governance matters across a dynamic business environment.
What You'll Do
Reporting to both the Senior Legal Counsel and Group GC, Legal, you will play a key role in driving best-in-class corporate governance practices and ensuring compliance with all statutory and regulatory obligations. You will serve as a trusted advisor to the Board and management team while supporting a wide range of corporate initiatives and transactions.
Key Responsibilities
- Provide end-to-end company secretarial support to the Board, Board Committees, and subsidiaries, including meeting coordination, preparation of agenda papers, resolutions, and minutes.
- Advise Directors and senior management on corporate governance, Companies Act requirements, Bursa Malaysia Listing Requirements, and regulatory compliance matters.
- Lead and manage regulatory filings, statutory records, annual reporting requirements, and corporate governance disclosures.
- Support and coordinate corporate exercises including IPOs, corporate restructurings, M&A transactions, capital raising exercises, share issuances, and other strategic initiatives.
- Liaise closely with regulators, external legal counsel, auditors, advisers, and other key stakeholders on governance and corporate transactions.
- Review, enhance, and implement governance frameworks, policies, and procedures to ensure alignment with best practices.
- Monitor regulatory developments and advise management on emerging governance and compliance requirements.
- Drive process improvements and digitalisation initiatives within the corporate secretarial function.
What We're Looking For
- CGI (formerly MAICSA) / CGQP qualified or equivalent professional qualification.
- Approximately 4-6 years of relevant company secretarial experience, gained within a listed corporation, professional service firm, public-listed company environment, or highly regulated industry.
- Strong working knowledge of the Companies Act 2016, Bursa Malaysia Listing Requirements, Malaysian Code on Corporate Governance, and corporate governance best practices.
- Hands-on experience supporting corporate exercises, including IPOs, M&A transactions, rights issues, restructuring exercises, or other capital market transactions, will be highly advantageous.
- Exposure to Board and Committee management within a PLC environment.
- Excellent stakeholder management, communication, and drafting skills.
- Ability to work independently, manage multiple priorities, and thrive in a fast-paced environment.
- Meticulous, commercially minded, and solutions-oriented with strong attention to detail.
Candidates with prior public-listed company (PLC) exposure, IPO/listing experience, or involvement in major corporate exercises will be viewed favourably.
