We are seeking a commercially astute and proactive Legal Counsel to support the Group's diverse business operations, strategic initiatives, and corporate transactions. Partnering closely with senior management, you will provide practical legal advice, mitigate risks, drive commercial negotiations, and support key business growth initiatives, including M&A and investments. This role offers excellent exposure to a dynamic business environment and the opportunity to play a strategic role in shaping the Group's long-term success.

Key Responsibilities

• Provide timely, practical, and commercially focused legal advice across the Group's businesses.
• Draft, review, negotiate, and manage a broad range of commercial agreements, including shareholder agreements, service agreements, financing documents, tenancy agreements, NDAs, and other corporate contracts.
• Identify, assess, and mitigate legal and regulatory risks while supporting business objectives.
• Lead and support mergers & acquisitions, investments, joint ventures, and other strategic transactions, including due diligence, negotiations, documentation, and post-completion matters.
• Advise on corporate, regulatory, intellectual property, and governance-related issues.
• Support contract negotiations and stakeholder engagements to safeguard the Group's interests.
• Monitor legal and regulatory developments and ensure ongoing compliance across business operations.
• Work closely with internal stakeholders and external advisers to deliver practical legal solutions in a fast-paced environment.
• Contribute to continuous improvement initiatives, legal processes, and operational excellence within the legal function.

Requirements

• Bachelor of Laws (LLB) and admitted to the Bar/CLP.
• Minimum 8 years' PQE, ideally gained from a reputable law firm and/or in-house legal environment.
• Strong experience in corporate, commercial, M&A, banking/finance, and contract matters.
• Sound knowledge of Malaysian corporate and business laws, including the Companies Act, Capital Markets & Services Act, Financial Services Act, AMLA, and related regulations.
• Commercially minded with strong analytical, negotiation, and problem-solving skills.
• Able to work independently, manage multiple priorities, and thrive in a dynamic, fast-paced environment.
• Excellent communication skills in English and Bahasa Malaysia. Mandarin proficiency is an added advantage due to interactions with China-based stakeholders.
