What you'll do:

You will play an integral role in supporting the firm’s corporate and commercial practice. Your responsibilities include :

• Draft, review, and amend a comprehensive array of corporate and commercial documents such as share purchase agreements, shareholders’ agreements, joint venture agreements, and other transactional documentation to ensure accuracy and compliance with current regulations.
• Advise clients on optimal corporate structures, regulatory compliance requirements, and governance matters by providing clear guidance tailored to each client’s unique business context.
• Assist in due diligence exercises by meticulously reviewing relevant materials and supporting transaction management throughout all stages of M&A and other corporate transactions
• Prepare and negotiate various commercial contracts including supply, distribution, licensing, and services agreements while safeguarding clients’ interests at every step.
• Support partners and fellow team members in managing client relationships by delivering timely legal solutions that meet or exceed expectations.
• Conduct thorough legal research on complex corporate and commercial law issues to provide well-reasoned written opinions that inform strategic decision-making.
• Collaborate closely with colleagues across different practice areas to ensure seamless delivery of integrated legal services for clients involved in multifaceted transactions.
• Maintain up-to-date knowledge of the Companies Act 2016, securities regulations, and related Malaysian corporate laws to ensure all advice remains current and compliant.
• Participate actively in internal training sessions and knowledge-sharing initiatives designed to enhance both individual skills and collective team expertise.

What you bring:

The ideal candidate brings proven experience handling corporate transactions within Malaysia’s regulatory framework. Key requirements :

• Possess an LLB or equivalent legal qualification from a recognised university.
• Admitted as an Advocate & Solicitor of the High Court of Malaya (Malaysian Bar).
• Have between 1 – 6 post-qualification experience (PQE) specifically in corporate and commercial law within Malaysia’s legal landscape.
• Demonstrate strong drafting abilities coupled with excellent negotiation skills
• Communicate fluently in both written and spoken English and Bahasa Malaysia
• Be proactive, detail-oriented, reliable under pressure, and possess strong interpersonal skills
