Our client is seeking a dedicated and meticulous Corporate Secretarial Executive to join their team. The successful candidate will have the opportunity to: - * Work in a dynamic and collaborative environment * Play a crucial role in ensuring the smooth running of corporate secretarial duties. * Develop and implement best practices in corporate governance and compliance.

What you'll do:

As a Corporate Secretarial Executive, you will showcase your expertise in helping the organization to achieve its objectives by the following key responsibilities: -

  • Draft directors' and shareholders' resolutions, complete statutory forms, and ensure their timely execution.
  • Prepare agendas and issue meeting notices for board and committee meetings.
  • Accurately record minutes for board and committee meetings.
  • Prepare and release relevant announcements to Bursa Malaysia and submit required documents to regulatory authorities.
  • Draft annual reports, circulars to shareholders, and other corporate exercise documents.
  • Assist in the custodian functions of the Company Secretarial Department.
  • Ensure compliance with relevant laws and regulations by keeping abreast of changes in the Companies Act 2016, practice notes/directives and guidelines of the Companies Commission Malaysia (SSM), Listing Requirements of Bursa Malaysia, and the Malaysian Code on Corporate Governance (CG).
  • Liaise with auditors, advisers, registrars, and other professionals.
  • Manage the portfolios of work assigned with diligence and responsibility.

What you bring:

The ideal candidate for the Corporate Secretarial Executive role will bring a wealth of experience and knowledge to the team.

  • CGI (ICSA) qualified with minimum 3-5 years of secretarial working experience in a corporate office environment, preferably in a listed entity.
  • Proficiency in both English and Bahasa Malaysia is paramount for effective communication in a diverse business environment.
  • Exceptional interpersonal skills enable them to adeptly engage with individuals at all levels of the organization, fostering collaboration, understanding, and effective communication across diverse stakeholders.
  • Possessing a comprehensive understanding of the Companies Act 2016, SSM statutory requirements, Listing Requirements, CG Code, and pertinent guidelines issued by the Securities Commission.
  • Demonstrated capability to excel within a team-oriented setting, exhibiting autonomy and initiative while thriving under minimal supervision.
