Our client is seeking a highly skilled and knowledgeable Company Secretary to join their team. This role will involve a range of responsibilities, including assisting with the delivery of Company Secretarial activities, maintaining knowledge of company legislation and policy, and managing corporate restructuring plans. The successful candidate will have a strong understanding of board governance and compliance, as well as experience in liaising with both in-house and external legal advisers. What you'll do:

As a Company Secretary, your role will be pivotal in ensuring that the company's legal, statutory and regulatory obligations are met. You will be responsible for arranging Board and Shareholder meetings, circulating Notices, Resolutions and Minutes as appropriate to maintain corporate governance standards. Your expertise will also be crucial in managing Company Secretarial activity involved in corporate restructuring plans, acquisitions, disposals, and liquidations. Your ability to liaise effectively with other departments, particularly with the Group Legal and Company Secretarial functions will be key in maintaining Group standards consistently.

  • Assist with the delivery of Company Secretarial activities to ensure legal and best practice requirements are met.
  • Maintain personal knowledge of Company legislation and policy, including development of changes.
  • Make recommendations on policies and procedures to ensure continuous improvement around Board governance and compliance.
  • Arrange Board and Shareholder meetings, circulating Notices, Resolutions and Minutes as appropriate to maintain corporate governance standards.
  • Manage Company Secretarial activity involved in corporate restructuring plans, acquisitions, disposals, and liquidations to maximise effective business structure.
  • Liaise effectively with other Departments, particularly with the Group Legal and Company Secretarial functions to maintain Group standards consistently.
  • Build and maintain strong relationships with key stakeholders to ensure service delivery meets expectations.
  • Assist with relevant statutory compliance issues to ensure ongoing legislative compliance.
  • Liaise with in-house and external legal advisers to ensure required standards are met.
  • Manage and develop any direct reports to ensure required standards of performance and support personal and professional development of team members.

What you bring:

The ideal candidate for this Company Secretary position will bring a wealth of experience in group reorganisations and entity eliminations. You will have a proven track record in organising meetings, including the production of Notice of Meetings, arrangement of venues, equipment etc. Your experience in producing meeting packs for meetings and timely distribution of same will be highly valued. Additionally, your ability to take notes or minutes at meetings will be crucial. Familiarity with the Blueprint database to record statutory information is required. Candidates may have a legal or regulatory background and should demonstrate practical and commercial awareness. A Tertiary Degree or equivalent combination of education and work experience is essential.
