A unique compelling opportunity has just become available at one of the leading and renowned service providers in Kuala Lumpur.This role offers the opportunity to work directly under Chairman and Board of Directors, overseeing all corporate secretarial matters and projects. The successful candidate will be responsible for ensuring governance and processes for Board, Board Committee and general meetings are in accordance with applicable rules and regulations to safeguard the interest of this organization. This includes maintaining efficient and effective communications to Board of Directors, Chiefs of Division, Heads of Department and other internal and external stakeholders.

What you'll do:

As a Group Company Secretary, you will play a pivotal role in shaping our corporate governance framework. You will be entrusted with managing our statutory register, developing our corporate governance framework, coordinating board matters, assessing operational risks, liaising with government bodies, regulators, senior management team members, board members, chiefs of division, heads of department and other stakeholders. Your ability to handle complex situations while maintaining strict confidentiality will be crucial in this role.

  • Manage statutory register and submission of statutory filings, including application of Board governance documents
  • Develop corporate governance framework and monitor its effectiveness
  • Manage the appointment of Board of Directors, including welfare benefits and compensation
  • Act as the key liaison to support and coordinate Board and Board Committee matters between senior management and Board members
  • Monitor overall integrated workplan, highlight key issues as well as manage and aid decision making process among key stakeholders
  • Develop and maintain relations with government bodies and regulators, including managing overall coordination and engagement with them as well as enquires and requests
  • Assess operational risks inherent in the business, taking into account economic or market conditions, legal and regulatory requirements, operating procedures and practices, management restructurings and impact of new technologies
  • Ensure urgent enquiries and emerging issues are brought to the CEO’s attention

What you bring:

The ideal candidate for the Group Company Secretary role will bring a wealth of experience in company secretarial practice. You will have a strong work ethic, with the ability to maintain strict confidentiality and integrity. Your excellent command of Bahasa Malaysia and English, both verbal and written, will be key in communicating effectively with various stakeholders. A professional qualification such as ICSA or equivalent, is essential. Your deep understanding of regulations, directives and internal policies will enable you to balance regulatory requirements with business demands.

  • Possess strong work ethics and able to maintain strict confidentiality and integrity
  • Able to work independently, with high accuracy and attention to details
  • Excellent verbal and written command of Bahasa Malaysia and English
  • Bachelor's Degree in Law, Business Administration or equivalent
  • Professional qualification (e.g. ICSA or equivalent)
  • Minimum 12-15 years’ experience in company secretarial practice, preferably in a large organization/public listed company setting
  • Well versed in regulations and directives as well as internal policies to be able to balance regulatory requirements with business demands
  • Able to demonstrate knowledge on corporate governance principles and secretarial practice
