A leading and well-established IT shared services company is seeking a high-calibre candidate for an Associate Counsel job for its legal team – a role which requires a legal talent to provide pragmatic and strategic advice/support to the group and its relevant business units/functions, both locally and globally.

About the Associate Counsel Role:
Reporting to the Legal Counsel, you will be responsible for rendering commercial legal advice as well as managing legal and regulatory risk of the global IT function and to ensure the continuous success and growth of the legal team in Malaysia as the business of the group.

Key Responsibilities:

• Rendering legal and commercial advice and service to the global IT function, in a manner which supports and advances the company’s its business objectives while effectively managing relevant risks
• Negotiating, drafting, and advising on execution of all commercial transactions related to the company’s business operations
• Supporting the overall contract management system and processes including drafting, negotiating, and executing contracts pursuant to the company's contract management policy as well as in setting and implementing various corporate governance procedures and ensuring strict compliance including but not limited to review and audit of all processes from time to time to ensure continued compliance with the group's compliance guidelines, amongst others, Standard of Business Conduct, GDPR, Third Party Anti-Financial Crime Procedure (TPAFCP) policies
• Highlighting and ensuring stakeholders have in place proper corporate governance for internal compliance
• Instructing and managing external legal counsel in relation to complex, high profile and/or strategically important transactions and other advice, reviewing output, and controlling and approving spend
• Keeping abreast of developments in the relevant areas of law and to advise functions and stakeholders of the legal impact when appropriate

To succeed in this Associate Counsel role, you will need to be a team player with the ability to work independently, effectively and have the following traits and qualifications.

Key Requirements

• B holder with at least five years' PQE gained either in an international law firm or as an in-house counsel for a reputable MNC
• Significant and strong experience, knowledge and expertise in commercial, corporate and regulatory compliance
• Strong legal drafting, negotiation, and project management skills
• Hands-on flexible attitude, sound commercial judgement and ability to work under pressure
• Excellent interpersonal and communication skills with a high degree of emotional intelligence
• Keep up to date with changes in law and corporate governance best practices to ensure that company transactional structures, documentation, policies, and contract management processes remain current and commercially appropriate
