What you'll do:
As Senior Manager, Corporate Secretarial based in Kuala Lumpur, you will play an instrumental role in safeguarding the organisation’s reputation through diligent oversight of all corporate secretarial activities. Your day-to-day responsibilities will centre around providing expert support for Board operations—preparing agendas, attending meetings, drafting minutes—and maintaining statutory records with exceptional accuracy.
The primary responsibilities are:
- Oversee all aspects of corporate secretarial functions for the group and its subsidiaries, ensuring full compliance with the Companies Act 2016 as well as other statutory and regulatory requirements.
- Provide comprehensive secretarial support for Board and Board Committee meetings by scheduling sessions, preparing detailed agendas, compiling and distributing meeting papers, attending meetings, and drafting accurate minutes and resolutions including Circular Resolutions.
- Maintain statutory registers, records, and secretarial documents meticulously while ensuring timely submission of annual returns, statutory forms, and other required filings to relevant authorities.
- Handle sensitive correspondences efficiently by collating information from various sources and preparing clear reports that communicate decisions made at meetings to all relevant stakeholders.
- Liaise proactively with external regulators and advisers such as auditors and government authorities on matters related to secretarial compliance, fostering positive relationships built on trust and understanding.
- Coordinate logistics for Board-related activities including planning travel arrangements for business trips, trainings, site visits, and official engagements whenever required.
- Undertake additional secretarial or administrative assignments as directed by senior management from time to time, demonstrating flexibility and responsiveness in meeting evolving organisational needs.
- Support the implementation of governance policies across the organisation by sharing best practices in secretarial administration with colleagues at all levels.
- Ensure confidentiality of sensitive information handled during Board meetings or when managing statutory records, upholding the highest standards of professional integrity.
- Contribute actively to continuous improvement initiatives aimed at streamlining secretarial processes for greater efficiency.
What you bring:
Your proven track record as Senior Manager, Corporate Secretarial will be defined by your deep understanding of Malaysian corporate law coupled with extensive experience supporting Boards within complex organisational structures. You bring not only technical expertise but also refined interpersonal skills that foster collaboration among diverse stakeholders.
- Possess an ICSA/MAICSA professional qualification or hold a Degree in Law (LLB) or Secretarial Practice from a recognised institution.
- Demonstrated 10-15 years of hands-on experience managing corporate secretarial functions within large organisations or groups with multiple subsidiaries.
- Comprehensive knowledge of Companies Act 2016 as well as SSM requirements and other pertinent statutory regulations governing corporate entities in Malaysia.
- Exhibit excellent interpersonal skills that enable you to collaborate effectively with Board members, senior management, external advisers, regulators, and colleagues across departments.
- Showcase outstanding written and verbal communication abilities in both Bahasa Malaysia and English for preparing reports, minutes, resolutions, and stakeholder correspondence.
- Detail-oriented approach combined with responsibility for managing confidential information accurately under tight deadlines.
- Proven ability to work independently while remaining responsive within a fast-paced environment where priorities may shift quickly.
- Proficiency in using digital tools for document management, scheduling meetings, compiling reports, and submitting filings electronically where required.
