What you'll do:
As Legal Counsel, you will immerse yourself in a broad spectrum of responsibilities that underpin the organisation’s regional expansion strategy. Your day-to-day activities will involve collaborating with both internal stakeholders and external partners to facilitate seamless business set-ups across Southeast Asia. Your expertise will be called upon when drafting complex contracts or advising on mergers and acquisitions.
The primary responsibilities are:
- Assist in drafting and reviewing contracts related to share purchase transactions, shareholders’ agreements, loans, corporate financing, and other key legal documents essential for business operations.
- Implement compliance frameworks by monitoring policies and procedures that guarantee adherence to applicable laws, regulations, franchise requirements, data privacy standards, and internal group policies.
- Ensure full compliance with all requirements related to business set-up and ongoing operations, including adherence to foreign investment laws across multiple jurisdictions.
- Coordinate closely with various business units and investors to fulfil incorporation requirements efficiently and accurately.
- Oversee corporate housekeeping by preparing, filing, and monitoring applications for incorporation or amendments of articles of incorporation with relevant authorities.
- Prepare and collate documents required for company registration, liaising with central legal teams and external company secretaries to secure necessary permits and licences for business operations.
- Collaborate with external firms in different countries on corporate secretarial matters to ensure seamless governance processes.
- Review secretary’s certificates as well as Board of Directors’ and shareholders’ meeting minutes prepared by paralegals to maintain accurate records.
- Track share transfers and shareholdings while reconciling reports on stock movements to ensure transparency and accuracy.
- Supervise paralegals in managing corporate secretarial tasks, providing guidance and oversight as needed.
What you bring
To excel as Legal Counsel within this forward-thinking organisation, you will bring substantial experience navigating complex legal landscapes across Southeast Asia. Your background includes hands-on involvement in major corporate transactions—ranging from mergers and acquisitions through foreign direct investments—where your attention to detail has ensured successful outcomes. You have developed advanced contract drafting skills that enable you to translate intricate business arrangements into robust legal agreements.
- Qualified to practise law in Malaysia or the Philippines with 5 to 8 years post-qualification experience gained from a reputable law firm or as an in-house counsel.
- Demonstrated experience advising clients on corporate law transactions including mergers and acquisitions, foreign investments, due diligence reviews, contract drafting, regulatory compliance matters, franchising issues, and commercial negotiations.
- Advanced skills in contract review coupled with proven ability to draft clear legal documentation tailored for complex business needs.
- Fluency in English alongside proficiency in your native language enables effective communication across multicultural teams.
- Experience managing corporate secretarial functions such as preparing board resolutions, tracking shareholdings, updating statutory books, coordinating filings with regulators or government agencies.
- Proven track record implementing compliance frameworks—monitoring policies/procedures for adherence with local/international laws (including data privacy) while conducting periodic reviews or risk assessments.
- Ability to coordinate effectively with external counsel or service providers across multiple jurisdictions ensures timely completion of critical projects.
- Strong organisational skills allow you to manage competing priorities while supervising junior staff such as paralegals on routine tasks.
- Excellent interpersonal abilities foster collaboration within cross-functional teams while building trust among stakeholders at all levels of the organisation.
