Our client with sales product lines in clothing, wellness and nutrition, skin care, personal care and F&B is looking for a Manager, Company Secretary to look after the privately owned business entity with SEA operations.
This company is seeking a Manager, Company Secretary to provide in-house secretarial services in managing and administering secretarial practices and statutory requirements in compliance with Companies Act 2016 and other countries local act for all overseas entities.

What you'll do:
As a Manager, Company Secretary, you will play a crucial role in both aspects.
The primary responsibilities are:
- Exercise a comprehensive company secretarial duties and functions for a group of companies.
- Prepare and attend to various corporate documents, statutory forms and legal documents.
- Ensure proper maintenance of statutory records and submission of statutory returns.
- Oversee corporate governance framework, ensuring compliance with relevant laws and regulations and implementing best practices.
- Advise Board of Directors and Senior Management on governance issues, company policies, and legal compliance.
- Coordinate and support other departments in special assignments and corporate exercise.
- Deal and liaise with external auditors during audit review.
- Deal and liaise with external company secretaries/lawyers and corporate services provider for overseas legal entities on corporate documents and secretarial matters.
- Dealing with Bankers, discuss and negotiate the Term and Conditions of the Banking Facilities.
- Negotiating, drafting and review of trade agreements, agreements of all kinds and other legal documents.
- Ensure all agreements and contracts comply with the relevant laws and regulations, including but not limit to international trade laws.
- Collaborate with internal stakeholders and external partners to facilitate smooth execution of agreements and contracts.
- Track and manage the performance of agreements, addressing any issues or disputes that arise.
- Ensure compliance with Direct Selling Act and Direct Selling Association Regulations in Malaysia and relevant countries.
- Attends other's ad-hoc assignments as and when required.
What you bring:
The ideal candidate for this Manager, Company Secretary role will bring a wealth of experience.
You must also possess the following:
- Bachelor's Degree or Professional Qualification in Business Administration/ Management/ Secretarial or equivalent
- At least 8 years of related working experience in a corporate secretarial role
- Strong knowledge of corporate governance requirements and compliance.
- Ability to advise senior management on governance issues.
- Excellent communication skills for effective collaboration with internal stakeholders and external partners.
- Strong analytical skills for tracking agreement performance.
- Ability to resolve disputes related to trade agreements effectively.
