What you'll do:
As Chief Legal Officer based in Kuala Lumpur, you will play a pivotal role in steering the organisation’s legal direction across multiple countries. Your day-to-day activities will involve providing expert counsel to various business units, negotiating complex contracts for distressed assets and projects, overseeing regulatory compliance for new market entries, and safeguarding intellectual property.
The primary responsibilities are:
- Advise business units and stakeholders, ensuring clarity and compliance across diverse operations.
- Draft, review, and negotiate distressed asset term sheets as well as sale and purchase agreements, guaranteeing contract completion.
- Prepare, review, and negotiate letters of offer and Share Sale Agreements for mergers and acquisitions projects, facilitating seamless transactions.
- Oversee the drafting, reviewing, and negotiation of all business-as-usual contracts including Non-Disclosure Agreements, Service & Technology Agreements, IT Contracts, Shareholders Agreements, Subscription Agreements, Investment Agreements, and Loan Agreements.
- Establish legal frameworks for new market entries by researching regulatory requirements and preparing necessary documentation.
- Manage all regulatory license applications in respective jurisdictions to ensure timely approvals for business expansion.
- Advise on the formation of new entities and provide guidance on optimal legal shareholding structures to support corporate growth.
- Address privacy law matters related to data protection by implementing robust policies that safeguard customer information.
- Handle intellectual property issues by protecting organisational assets through effective legal strategies.
- Measure performance against service level agreement standards across the legal team to maintain high-quality output and continuous improvement.
What you bring:
To excel as Chief Legal Officer, your proven experience should encompass significant exposure to contract law—particularly drafting and negotiation—alongside expertise in mergers & acquisitions and privacy legislation. Your interpersonal skills will enable you to build trust with stakeholders while navigating complex regulatory landscapes. A background in finance or fintech will help you understand industry-specific challenges; familiarity with APAC jurisdictions is especially valuable given the regional reach of this role.
You would possess the following:
- 8-10+ PQE onwards with demonstrated expertise in contract law and substantial experience in drafting and negotiating complex agreements across multiple sectors.
- Experienced in transactional M&A, privacy laws, and operational legal advice with a strong commercial sense.
- Exceptional written and verbal communication skills enabling you to convey intricate legal concepts clearly to stakeholders at all levels.
- Capacity to work independently while managing substantial workloads efficiently within challenging legal contexts.
- Experience within Lending, Finance or FinTech industries would be advantageous for understanding sector-specific nuances.
- Familiarity with APAC jurisdictions is preferred due to the multinational scope of operations involved in this role.
