About the Manager, Company Secretary Role: In advising the board and internal stakeholder groups, this Manager, Company Secretary is responsible over the secretarial portfolio and corporate governance matters.
Key Responsibilities:
Provide efficient and effective company secretarial and administrative service including scheduling and attending meetings, taking minutes, drafting agendas, preparing board packs, and following up on actions
Strategise direction and planning for the department based on management vision and aspirations
Proactively identify and manage the legal risks of the institution and to achieve the desired outcome within the parameters of the law, as well as provide expertise and technical assistance in current/emerging issues within the institution
Build partnerships with both internal and external stakeholders as well as Board of Directors
Act as the department’s point of reference by providing direction and leadership, establishing cultural and behavioural norms, as well as prioritise resource allocation/deployment to support service standards and implementation of corporate processes
To succeed in this role, you need to have at least 10 years experience and candidates who are familiar with corporate governance/securities commission/Bursa listing requirements will be viewed favourably.
Key Requirements:
Minimum of 10 years of experience in the corporate secretarial field, preferably in financial services or a public listed company
Bachelor’s degree in law or ICSA qualifications
Strong minutes writing expertise and working knowledge of corporate governance, company secretarial and legal will be viewed favourably
Ability to understand complex issues outside their experience and expertise and facilitate resolution across multiple functions/managing across boundaries
