One of the leading international financial institutions is looking for a high calibre candidate for a Director, Company Secretary job to lead and advise the corporate secretarial function.
About the Director, Company Secretary Role: Reporting to the Group Corporate Secretary, you will be responsible for board governance, advise directors on responsibilities, liabilities and strategic priorities, lead corporate governance initiatives and ensure effective management and development of team members.
Key Responsibilities:
Manage end-to-end board processes, including ensuring papers and minutes are circulated and drafted on a timely basis, actions clearly documented and proactively followed up as well as annual board evaluation
Work closely the CEO, directors, and regional heads on initiatives related to succession planning, induction programmes, and training, develop robust processes, advise on corporate governance and proactively provide significant information, ensuring alignment across the board
Maximise the usage of technology in paperless board meetings such as iPads, company website, e-mail and share point site and work closely with the Technology and Operations team to ensure timely and sustainable solutions/guidance on occurring IT issues
Manage the corporate structure and the relevant entities, provide blueprint oversight ensuring the responsible persons fully understand the responsibilities and complete changes to mandatory fields and compliance reviews within the prescribed timelines
Advise stakeholders on corporate authorities and work closely with the senior management to ensure relevant board and committee approvals are obtained on a timely basis
Ensure understanding of the sources of authority framework and the process for obtaining approval authority and demonstrating evidence as appropriate to external third parties
Guide the application and interpretation of legislation, banking codes, corporate governance guidelines and policies related to the banking business
Lead involvement in corporate governance practices and demonstrate judgement on the areas to engage, so as to maximise the value to thought leadership with regulators and policy makers
Continuously review and look for ways to streamline processes to ensure efficient and sustainable ways of working within the Malaysia Company Secretariat
Drive and stimulate an environment where forward planning, prioritisation and deadline management lead to efficient work practices and streamlined functional activities and processes
Effective management and development of direct reports, team succession planning, including building strong relationships with the wider regional team and encouraging team collaboration
Contribute and engage with the Regional GCS team and promote the sharing of best practice and identify areas to improve process and develop more efficient ways of working
To succeed in this Director, Company Secretary role, you need to possess the ability to identify and drive opportunities for continuous improvement, have strong attention to fine detail, and be a team player with good leadership and people management skills.
Key Requirements:
Academic or Professional Education/Qualifications (e.g. Law degree, chartered secretary or chartered accountant) with technical knowledge, ideally gained within the financial services sector
Experience of working within Financial Services or a fast paced locally listed company of substantial size and complexity
Good interpersonal and written and verbal communication skills with the ability to communicate/ influence senior management and stakeholders across different cultures
Flexible and collegiate approach with the ability to contribute to building and maintaining a strong team environment
Resourceful, analytical, meticulous, diligent, responsible and able to work under pressure with minimal supervision
