Group Legal Counsel

A premier corporate services and professional services firm with regional presence in Asia Pacific is looking for a Group Legal Counsel due to significant growth and expansion in its business. This is a regional lead role which will report directly to the Chief Operations Officer. In this job, you will be based in Kuala Lumpur.

About the Group Legal Counsel Role:
Reporting to the Chief Operations Officer (COO), you are responsible for various legal matters for the group by actively participating and supporting the key operations and strategic acquisitions across Asia including cross-border M&As, corporate exercises, operational legal risk management as well as corporate governance and risk management.

Key Responsibilities:

• Rendering legal advice and opinions on all legal matters of the group, including but without limitation leading and negotiating in mergers, acquisitions, take-overs, joint ventures, new investment opportunities, and advising on operational matters including commercial agreements, employment law, compliance such as data privacy compliance
• Partnering with the management in ensuring the smooth integration and transition of the various business and corporate acquisitions
• Drafting, preparing, advising and/or vetting of agreements, policies, procedures, risk management framework and documentation, as well as assisting in the negotiations on commercial terms and conditions for the agreements to be entered into by the company
• Keep the management abreast of key legal developments and to liaise independently with authorities in such jurisdictions where the group’s business operates, including but not limited to Malaysia, Singapore, Hong Kong, Thailand, Vietnam, China, Australia, and the USA
• Managing and supervising the group’s litigation, employment/HR matters, and working in an inter-departmental manner to advise and support the group’s tax, accounting/finance, HR departments
• Supervising and managing the group’s corporate secretarial functions including reviewing and drafting of minutes of meetings, circulars and resolutions, ensuring timely regulatory submissions, advising on the statutory and regulatory compliance with the view of ensuring good corporate governance and compliance in the respective jurisdictions where the group’s business operates

To succeed in this Group Legal Counsel role, you will need to be a strong team player with the ability to work independently and effectively.

Key Requirements:

• Commonwealth qualified, with no less than six years of PQE, this being a combination of private practice and in-house legal work experience
• Strong legal knowledge of mergers, acquisitions, takeovers (cross-border M&A experience is an advantage), experienced in drafting, reviewing, vetting of corporate/commercial agreements, and possesses experience in negotiation in a corporate/commercial setting
• Willing to travel/be located at any of the company’s sites/offices
• Demonstrated ability to work independently with minimal supervision and thrive under a high-pressure work environment
• Good business acumen with corporate/commercial negotiation experience and an acute understanding of the needs of a startup premier corporate services firm with a regional presence
• Strong stakeholder management skills with regional exposure and strong interpersonal and communication skills with a strong proficiency in English (written and verbal)
