Assistant Legal Counsel

As a result of ongoing and continued successes within both Malaysia and internationally, this global leader within the automotive sector is recruiting for a second headcount for a Assistant Legal Counsel job in the legal team to support business expansion plans and enhance the organisation’s regional legal support function.

About the Assistant Legal Counsel Role:
This role supports the Legal Counsel in advising functional stakeholders and the leadership team on corporate and commercial matters and serve as a business partner to support implementation of the organisation’s business strategies.

Key Responsibilities:

• Advise and support the board of directors, regional office and leadership team on legal (covering corporate exercises, legal due diligence exercises, audit review, day-to-day operational topics, new business initiatives, governance matters, group policies), laws and regulations, and compliance matters
• Draft, review, negotiate and finalise contracts such as commercial contracts, confidentiality agreements, tenancies and engagement with advisors and review and/or draft day-to day business related forms
• Manage and mitigate legal risks in contracts with third parties
• Support, organise and conduct internal legal training and strategise learning modules
• Work closely with external lawyers on matters outside areas of expertise
• Liaise with legal counterparts of external stakeholders regulators on consents, approvals and/or licensing
• Support and advise on company secretarial functions such as to coordinate with the external company secretary on filings to be lodged with the Companies Commission of Malaysia, review board resolutions prepared by the external company secretary and facilitate approvals from the board and drafting the board resolutions/board papers, where such scope are not covered by the external company secretary
• Report and update litigation activities and provide input to external lawyers on any litigation or dispute involving the organisation
• Attending and representing the organisation in tribunal court claims
• Assess and recommend actions to the Leadership Team for any organisational litigation risks

To succeed in this Assistant Legal Counsel role, you must be adept at managing senior stakeholders and advising the board, leadership team, and regional counterparts on legal matters and protect the organisation’s interest through legal risk management.

Key Requirements:

• Minimum of four years PQE either practicing a law firm or in-house counsel (preferably both)
• Bachelor's degree in Law from a reputable law school/university
• Called to Malaysian Bar or equivalent
• Knowledge in contract and commercial laws, contract drafting and negotiation are key
• Prior in-house experience in a retail/service industry would be an advantage
