An Assistant Manager, Company Secretary job has become available at an established financial institution which provides comprehensive financial services in corporate finance, trade finance, forex and derivatives, cash management, Islamic finance and advisory.

About the Assistant Manager, Company Secretary Role:
This is a role for someone who is a growing leader in the secretarial field, able to take responsibility over all aspects of corporate secretarial services and assist in managing a team.

Key Responsibilities:

  • Handle all aspects of corporate secretarial services including but not limited to convening/attending Board and Board Committee meetings and general meetings, preparing minutes and resolutions, ensuring proper maintenance of statutory records, due submission of statutory returns and compliance with regulatory requirements
  • Keep abreast of the latest developments of the Companies Act 2016, Financial Services Act 2013, BNM's Policy Document on Corporate Governance, Malaysian Code of Corporate Governance and all other relevant rules and regulations that applicable to the job, and where required, prepare gap analysis and implement relevant measures to close the identified gaps
  • Advise the Board, Board Committees and the Management on corporate secretarial and corporate governance matters
  • Liaise and correspond with external parties such as Bank Negara Malaysia, Companies Commission of Malaysia, external auditors, etc.
  • Prepare relevant secretarial or corporate governance papers/reports and present to Management, Board and Board Committees
  • Assist in any other additional assigned tasks as and when required

To succeed in this Assistant Manager, Company Secretary role, you will need to have the ability to work effectively and co-operatively with both internal and external stakeholders.

Key Requirements:

  • Minimum of 10 years of experience in secretarial practice, preferably several years in financial services industry
  • Associate Member of MAICSA or possess Company Secretary License
  • Bachelor's degree or professional qualification in law or related disciplines
  • Sound knowledge of the Companies Act 2016, Financial Services Act 2013, BNM's requirements on corporate governance
  • Good written, communication and interpersonal skills
  • Positive attitude, a good team player with strong sense of responsibility and able to work independently with minimal supervision
