A Company Secretary, Deputy Manager job has become available at a wholly-owned subsidiary of an established foreign financial institution, to be based in its office in Kuala Lumpur.
About the Company Secretary, Deputy Manager Role:
In this role, you will be responsible for providing full-range corporate secretarial services to support this foreign financial institution which provides conventional and Islamic banking services to Malaysian conglomerates, MNCs and government-linked companies.
Key Responsibilities:
- Plan, organise and prepare the notice of board and board committee meetings to ensure proper, smooth, and orderly conduct of such meetings
- Prepare, circulate, and approve the minutes of such board and board committee meetings
- Prepare, circulate, and approve circular resolutions of directors and members
- Provide secretarial advisory services to the management on compliance of the provisions and statutory requirements of the various acts such as the Financial Services Act 2013 and Companies Act 2016, including guidelines and regulations issued by Bank Negara Malaysia (“BNM”) relevant to statutory and governance responsibilities and the bank’s constitution
- Prepare and submit statutory documents relating to acts such as the Companies Act 2016 and ensure that the statutory records including registers of members, directors, managers, and secretaries are updated
- Prepare and submit various forms and documents to Bank Negara Malaysia
- Undertake special assignments and ad hoc functions/projects as and when the need arises
To succeed in this role, you would need to have a minimum of five to eight years of secretarial experience, able to work independently and liaise with boards and committees with minimum supervision and possess a good command of English.
Key Requirements:
- Qualified Chartered Secretary, MAISCA members is preferred
- Minimum of five to eight years of experience, preferably gained from the financial industry
- Possesses strong knowledge and command of regulations such as the Financial Services Act 2013 and Companies Act 2016, Bank Negara Malaysia’s guidelines and policies and having a good rapport with regulators is advantageous
- Able to problem-solve and possesses good interpersonal skills
- Good verbal and writing communication and presentation skills
