What you'll do:
As a Tax Manager based in Kota Kemuning, you will immerse yourself in a multifaceted role that bridges technical expertise with commercial acumen. Your day-to-day responsibilities will see you acting as the go-to specialist for all matters related to M&A transactions—guiding deal structuring decisions from inception through execution. You will conduct thorough due diligence reviews to uncover risks or opportunities that could impact transaction value while ensuring seamless collaboration between finance, legal teams, and external advisors. * Act as the primary tax lead for mergers and acquisitions transactions including acquisitions, disposals, joint ventures, and minority investments by providing comprehensive advice throughout each stage of the deal.
* Advise on optimal deal structuring strategies such as share versus asset deals, holding structures, financing arrangements, and profit repatriation mechanisms tailored to maximise value creation.
* Perform or review detailed tax due diligence processes to identify potential risks, exposures, contingencies, and opportunities for enhancing transaction value.
* Collaborate closely with Corporate Finance and Legal teams on drafting SPA tax clauses, warranties, indemnities, and managing completion mechanics to ensure robust contractual protection.
* Support post-acquisition integration efforts by driving restructuring initiatives and implementing effective tax optimisation strategies aligned with business objectives.
* Provide expert advice to management on exit structuring options and divestment strategies to facilitate smooth transitions and maximise returns.
* Design and implement practical in-house tax planning strategies that align with commercial goals while supporting regional business units on new products, pricing models, supply chain changes, and expansion plans.
* Evaluate the tax efficiency of group structures including intercompany arrangements and financing flows to ensure compliance and operational effectiveness.
* Manage international tax matters across multiple jurisdictions in Southeast Asia by assessing cross-border implications such as withholding taxes, treaties, permanent establishment risks, and profit repatriation issues.
* Oversee transfer pricing frameworks by reviewing intercompany charges from both value-creation and risk perspectives while coordinating documentation preparation with external advisors.

* At least five years’ relevant experience in M&A tax advisory or international/transaction tax roles is essential; Big 4 background with strong deal exposure followed by in-house experience is strongly preferred.
* Proven track record handling cross-border transactions involving multiple country jurisdictions within Southeast Asia is necessary for success in this role.
* Experience working collaboratively with Corporate Finance teams as well as Legal departments and senior management is highly desirable for effective stakeholder engagement.
* Demonstrated ability to exercise sound commercial judgement balancing tax efficiency against execution risk is critical for making informed recommendations.
